These Terms & Conditions will apply once the ZEW platform is officially launched in production, which is expected to occur shortly. Currently, the platform is in preparation, and the terms outlined here will become applicable once the platform is fully operational.

We recommend that you review these terms carefully to understand how ZEW operates, as well as your rights and obligations as a user. By continuing to access or use the platform after its launch, you agree to be bound by these Terms & Conditions.

1. Introduction

Welcome to ZEW World! By accessing or using our website at https://www.zew.world/en ("Website"), you agree to comply with and be bound by the following terms and conditions ("Terms").

If you do not agree with these Terms, please do not use our Website.

2. Definitions

  • "ZEW World": Refers to the organization and its associated services provided through the Website.

  • "User," "You": Refers to anyone who accesses or uses the Website.

  • “Mission”: Refers to a project or campaign to be implemented by ZEW in partnership with local partners (e.g. NGO).

  • “League”: Refers to our Ambassadors, public figures or brands, that promote and lead their Missions.

  • "Content": Includes any text, graphics, images, videos, software, or other materials available on the Website.

3. Use of the Website

3.1 Eligibility You must be at least 18 years old to use our Website. By accessing the Website, you confirm that you meet this requirement.

3.2 Prohibited Activities You agree not to:

  • Use the Website for unlawful purposes or to promote illegal activities.

  • Upload, post, or transmit any harmful content, including viruses or malware.

  • Interfere with the Website’s functionality or security.

  • Attempt to access restricted areas of the Website without authorization.

3.3 Account Registration If certain features require registration, you must provide accurate and up-to-date information. You are responsible for maintaining the confidentiality of your account details.

4. Content on the Website

4.1 Ownership All Content on the Website is owned or licensed by ZEW World unless otherwise stated. You may not use, copy, or distribute Content without prior written permission.

4.2 User-Generated Content By submitting content (e.g., comments, reviews) to the Website, you grant ZEW World a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute such content in connection with the Website and our operations.

5. Ownership and Management of Funds

5.1 Funds from General Donors Contributing to Specific Campaigns: For donations made by general donors through the crowdfunding platform, the funds are initially collected into ZEW's central account. ZEW manages and retains control over these funds, ensuring that they are allocated appropriately to support the missions/campaigns they chose. Funds are typically released to partner NGOs in phases. For detailed procedures on fund management, please refer to ZEW’s Procedures Manual (Procedures Manual).

5.2 Larger Donations from Philanthropists, Large Partners, Foundations, or Public Figures (Ambassadors): For larger donations, typically from philanthropists, partners, foundations, or public figures/ambassadors, ZEW will hold the donation amount in a virtual wallet dedicated to the donor. This virtual wallet allows the donor to allocate funds to different campaigns based on their specific interests.

Funds in the virtual wallet will be managed by ZEW, and the disbursement will occur based on the donor's preferences, as well as project milestones. Funds are typically released to partner NGOs in phases. For detailed procedures on fund management, please refer to ZEW’s Procedures Manual (Procedures Manual).

6. Donations and Payments

6.1 Donations Donations made through the Website are voluntary and non-refundable unless otherwise specified.

6.2 Third-Party Payment Processors Payments may be processed by third-party providers. By donating, you agree to their terms and conditions in addition to ours.

6.3 Crowdfunding Success and Potential Actions

In the event that a crowdfunding project does not meet its original financial target, the following potential outcomes may arise:

  • Partial Success and Merge

    • If multiple missions with different financial targets do not meet their individual fundraising goals, the leagues involved may decide to merge their efforts.

    • The donations from the original missions remain unchanged, and a new combined mission may be created with an updated financial target.

    • If the merged mission meets its new financial target, the mission is considered live.

  • Partial Success and Goal Adjustment

    • If a merged mission still does not meet the new financial target, the leagues may choose to adjust the mission's goals to reflect the amount already raised.

    • The mission will proceed with the revised financial target, and updates will be reflected in the system accordingly.

  • Further Action Required

    • If a merged mission continues to fall short of the financial target after adjustments, additional actions may be necessary. These actions could include:

      • Seeking further partnerships or mergers with other leagues.

      • Launching additional fundraising efforts.

      • If the financial target remains unmet, the mission may be concluded and not proceed.

  • Fund Reallocation after Unsuccessful Fundraising Efforts

    • If all efforts to merge with another mission are unsuccessful, or leagues/ambassadors could not be allocated to the mission, and the fundraising target remains unmet, the funds raised for the mission will be reallocated to a different mission.

    • In this scenario, the funds will be redirected to a mission that aligns with the same goals or objectives, ensuring the continued support of the original mission's cause.

    • All users who donated to the original mission will be notified about the reallocation of their donations and informed of the new mission that will benefit from their support.

    • This is considered the last possible course of action after all other avenues for the mission’s continuation or support have been explored.

6.4 Use of Donation Funds

ZEW ensures that all donations made to campaigns will be used solely for the purposes described in the campaign materials provided by the organizers. To ensure this, ZEW manages virtual wallets for each donor and campaign, where the funds are allocated based on each donor's contribution. The funds in these wallets are only released to cover project expenses as they occur, and this process is done in stages. Each release of funds will only happen after the verification of the completion of the project milestones defined by the organizers.

This process of control and tracking is further detailed in our internal procedures and is designed to ensure that the funds are used exclusively for the project they were intended for.

6.5 Types of Missions/Campaigns we support

The types of Missions we support are primarily focused on environmental impact, social justice, and sustainability. We do not support Missions that promote illegal activities, violence, extremism, or unethical practices.

Regarding high-risk countries, ZEW evaluates each campaign on a case-by-case basis. We conduct a thorough risk assessment for any campaigns coming from higher-risk regions. We assess factors such as the political stability, governance, and regulatory environment of the region. In accordance with our KYC, AML, and Sanctions policies, any campaigns linked to sanctioned individuals, entities, or jurisdictions are prohibited.

Additionally, since ZEW manages funds internally and releases them in stages, only after proof of milestones, this process helps mitigate potential risks associated with fundraising in higher-risk regions, ensuring that funds are used for their intended purposes in full compliance with applicable legal and regulatory standards.

7. Privacy Policy

Your use of the Website is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information.

8. Limitation of Liability

ZEW World and its affiliates will not be liable for any indirect, incidental, or consequential damages arising out of your use or inability to use the Website, even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless ZEW World, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Website or your violation of these Terms.

10. Modifications to Terms

We reserve the right to update these Terms at any time. Changes will be effective upon posting to the Website. Your continued use of the Website constitutes acceptance of the updated Terms.

11. Termination

We may terminate or suspend your access to the Website at our sole discretion, without prior notice, for any violation of these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law principles.
